Anaren, Inc. and AML Communications, Inc.
Have signed a definitive merger agreement whereby Anaren, through a subsidiary, has agreed to acquire all of AML's outstanding shares of common stock for $2.15 per share in an all-cash transaction. The transaction represents an equity value of approximately $29.3 million and an enterprise value of approximately $22.6 million. Upon completion of the acquisition, AML will become a wholly owned subsidiary of Anaren and will be reported within the firm's Space & Defense Group.
AT4 Wireless
Has announced that its Linkou, Taiwan laboratory has been recognized as a Bluetooth Qualification Test Facility (BQTF) by the Bluetooth SIG. The company also has debuted a new testing service for certifying devices built to NFC Forum global standards, which is now available at AT4 wireless laboratories in Taipsei, Taiwan; Herndon, VA; and Malaga, Spain. In addition, AT4 has announced the availability of LTE-WCDMA inter-RAT testing capabilities in the T4110 LTE Protocol Tester.
Brush Engineered Materials, Inc.
Will change its name to Materion Corp., unifying all of its businesses under the new name effective this month. The company's common stock will continue to trade on the New York Stock Exchange.
Raytheon Co.
Has completed its tender offer, through wholly owned subsidiary RN Acquisition Co., for all outstanding shares of Applied Signal Technology, Inc. Following the acquisition, AST will be integrated into Raytheon's Space and Airborne Systems (SAS) business and renamed Raytheon Applied Signal Technology, Inc.
u-blox and Rohde & Schwarz
Have successfully concluded a simulation of the soon-to-be-deployed European Galileo satellite positioning system. The test, which was carried out with the Rohde & Schwarz SMBV100A vector signal generator and its GNSS simulation options, verified the u-blox proof-of-concept and the compatibility of u-blox receiver technology with the Galileo transmission protocol. The two companies' cooperation also is being extended to the Russian GLONASS satellite system, slated to be fully operational in 2012.
Altair Semiconductor and Agilent Technologies
Will jointly conduct interoperability and validation testing using Altair's 4G LTE chipset in conjunction with the Agilent PXT wireless-communications test set and N6070A-series signaling conformance test software. In addition, Altair has announced that the company's TD-LTE solution, which combines Altair's 4G LTE chipsets and Alcatel-Lucent's LTE infrastructure, has successfully completed interoperability testing. Cardinal Components, Inc.Has announced the opening of an office in Bangalore, India, completing the company's initiative to establish presences in Brazil, Russia, India, and China. The Bangalore office will become a programming center capable of providing samples to local customers in 48 hrs. Utilities Telecom Council (UTC)Has offered its support to Rep. Peter King (R-NY) for introducing H.R. 607, Broadband for First Responders Act of 2011, which allocates 700 MHz of D block spectrum to public safety for the creation of a broadband, interoperable emergency-response network.
